Project Engagement and Payment Terms

Kuchoriya Techsoft works on projects according to a time and materials basis unless a written agreement between the parties specifies a set price. All fee estimates are good for 30 days after the date of issuance and do not include VAT or any other relevant taxes. Unless otherwise specified in writing, payment terms are usually based on scheduled weekly or monthly reservations that control the distribution of developer resources.

Dedicated resources and essential support personnel, like a project manager or team leader, are assigned to clients under the services they have requested. The majority of these materials are run out of our Indian office, which is open Monday through Friday from 9 AM to 7 PM (IST, GMT +5:30). Resources will be made available if they are required on-site or at our offices in the US, Italy, Brazil, Canada, UAE, or Australia. Public holidays in Indian offices are announced beforehand by the development team, and any time off is usually made up by working overtime at the client's request.

Our Service Exclusions

• Development will take place on a sandbox server; all work, except digital marketing (SEO), will be done on a live server.
• Keep the only set of data; send a copy of the live database or test data instead.
• Give the developers as many tasks as possible; you are required to provide work constantly.
• Allow any mistreatment directed at our employees.
• Make direct contact with end-users; we maintain strict secrecy on all initiatives.
• Hire a third party to complete your assignment.

Acceptance of Services

Throughout the project, you will be asked to review, test, and approve various sections. Timely feedback is crucial, as delays in this process can impact the overall project timeline.

Once Kuchoriya Techsoft has fulfilled the booked period or completed the project, it will be tested accordingly. If a test failure is due to your actions or those of your subcontractors or agents, the project will be considered passed despite the defect. We may offer additional services to address non-Kuchoriya Techsoft defects, charged at current rates.

Backup Responsibility: It is your responsibility to maintain backups of the work. We recommend regular automated backups, which can be set up by our server technicians.

Live Server Work: Development generally occurs in a sandbox environment. Digital Marketing (SEO) work is performed on the live server. If development must occur on a live server Due to time constraints or specific requests, it is done at your own risk. We advise using a Sandbox server to avoid potential issues.

Our Invoices

• By paying the advance or initial invoice, you agree to these terms and conditions.
• Rates are calculated using the standard rates set by Kuchoriya Techsoft, which are subject to change with a month's notice.
  1. Weekly rates : Determined based on five days a week, eight hours per workday.
  2. Daily rates : predicated on a workday of eight hours.
  3. Bucket rates : To be utilized within six months of booking, calculated for 10, 20, or 40 hours.
• Currency of Invoice: All invoices must be settled in the same currency that they are issued in.
• Before work commences, invoices are generated and need to be settled for the project to get underway. If payments are not received, the project may be placed on hold for a while, and its contents may even be deleted from our servers.
• Taxes: VAT and any other applicable taxes are not included in the prices and will be applied at the current rate.

Limitation of Liability

• Total Financial LiabilityKuchoriya Techsoft’s entire financial liability includes any acts or omissions by its employees, agents, or consultants, related to:
  1. Any breach of these Terms & Conditions.
  2. Any representation, statement, or action in violation of contract law or omission (including negligence) arising under these Terms and Conditions.
• Exceptions to Liability:Kuchoriya Techsoft is not liable for:
  1. Loss of Profits;
  2. Loss of Business;
  3. Depletion of goodwill and/or similar losses;
  4. Loss of anticipated savings;
  5. Loss or corruption of data or information, or;
  6. Any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses
• Limit on Liability:Kuchoriya Techsoft's total liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the total charges paid for the services during the 12 months immediately before the cause of action arose. If the cause of action arose within a period shorter than 12 months from the date of our first invoice, the liability is limited to that shorter period.

Termination Criteria

Kuchoriya Techsoft reserves the right to terminate the project or services without liability under the following conditions:

1. Payment Default: When money is not paid by the due date and is not paid for at least seven days after being sent a written reminder to pay, it is considered a payment default.
2. Serious Violation: Violing our terms and conditions in a way that is not correctable or neglecting to correct a violation within 14 days of being notified in writing.
3. Conduct Issues: Behavior that appears to indicate a desire or capacity to follow the terms and conditions of the agreement.
4. Insolvency: The legal term for bankruptcy, winding-up orders, or being subject to administration or liquidation procedures as required by applicable laws.
5. Project Feasibility: Unless there are errors on our end, the project becomes impracticable or undeliverable throughout development.

Rights to Intellectual Property

1. The ownership of each party's confidential information is retained. Unless otherwise specified, no rights or permissions are granted. Copyrights and patents are examples of intellectual property rights that still belong to their original owners.
2. Both parties acknowledge that any intellectual property that is already in existence is theirs, that it is licensed, and that it may be utilized and developed further during the term of the agreement.
3. Any intellectual property that either party possessed prior to the Effective Date is still theirs. The other party is not granted any rights or licenses unless specifically stated in the Agreement.
4. As long as all debts are settled, the customer will own all intellectual property produced by Kuchoriya Techsoft during the Agreement, whether it was done so individually or jointly. This covers software, designs, inventions, and other intellectual works.
5. At the client's expense, Kuchoriya Techsoft will help the client get trademarks, copyrights, and patents. Once the final payment is received, Kuchoriya Techsoft will transfer all rights to the customer, complete the relevant documentation, and assist the client in gaining protections for any intellectual property generated.

How to Address Issues with Our Service

At Kuchoriya Techsoft, we always aim to provide excellent and timely service. However, please take the following actions to voice your concerns if you ever feel unsatisfied with the service you receive, including issues with our invoices:

• Please get in touch with your Developer directly to voice your worries if you are using the Design & Development Model A or Model D.
• Please contact your Project Manager with any questions or concerns if you are operating under a different model.
• Please contact our Accounts Team if you have any questions about billing or bills.

To guarantee your pleasure, we pledge to respond to your problems in a timely and efficient manner.

Exclusive Engagement Clause

You undertake not to directly or indirectly solicit, engage in, or conduct business with any Developer or Employee of Kuchoriya Techsoft during the life of this Agreement and for a period of twelve (12) months after its termination. Furthermore, you will not encourage, persuade, or help any Developer or Employee to quit their job with Kuchoriya Techsoft (or any affiliate) in order to work for any person or organization that competes with Kuchoriya Techsoft.

For the purposes of this clause, a "Developer" is defined as: (i) any permanent developer, business analyst, or other Kuchoriya Techsoft employee with whom you had contact or access to sensitive information during the twelve (12) consecutive calendar months following the termination of your relationship with Kuchoriya Techsoft; or (ii) any developer who took part in or had access to a written proposal on behalf of the company during the twelve (12) consecutive calendar months prior to their termination from Kuchoriya Techsoft. Any person with a contract of employment with Kuchoriya Techsoft is referred to as a "Employee," regardless of the length of the agreement.

You may not do any of the following during your engagement with us or for a period of twelve (12) months following its termination in order to preserve the integrity of our business:

• Ask for business from our clientele or make an effort to speak with them directly.
• Any of our developers or other staff members may be hired or contracted out for services.
• Request work directly from any of our staff members or developers, or make an effort to do so.

Since Kuchoriya Techsoft offers its services abroad and conducts business internationally, this clause's limitations are applicable everywhere. A claim for damages, including lost profits and any additional expenses incurred as a result of the breach, will be made in the event that this condition is broken.
